Seedia Lab Terms of Service

Seedia Lab (“Seedia Lab”, “we” or “us”) provides and operates the website, subscriptions, image library, downloadable images, and related services described in these Terms (collectively, the “Seedia Lab Services”). These Terms govern your access to and use of the Seedia Lab Services.
By visiting, accessing, or using the Seedia Lab Services, you agree to be bound by these Terms, so please read them carefully. If any part of these Terms is unacceptable to you, please do not visit, access, or use the Seedia Lab Services.
1. Definitions
In these Terms:
- “Seedia Lab,” “we,” “us,” or “our” means the operator of the Seedia Lab website and services.
- “Services” means the Seedia Lab website, subscriptions, image library, downloadable image files, previews, account features, and related functionality.
- “Content” means images, visuals, designs, metadata, previews, website text, graphics, software, and other materials made available by Seedia Lab.
- “User,” “you,” or “your” means any person or entity accessing or using the Services.
- “Paid Subscriber” means a user with an active paid subscription plan.
2. Eligibility and Account Registration
You must be legally capable of entering into a binding agreement to use the Services. If you use the Services on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must notify us promptly if you suspect unauthorized access or misuse.
3. Subscriptions, Billing, and Taxes
Some features require a paid subscription. By purchasing a subscription, you authorize us or our payment processor to charge the applicable fees, taxes, and any renewal amounts disclosed at checkout.
Unless otherwise stated at checkout, subscriptions renew automatically until cancelled. You may cancel future renewals through your account settings or by contacting us. Cancellation does not automatically entitle you to a refund for the current billing period except as expressly stated in these Terms or required by applicable law.
You are responsible for any applicable taxes, duties, currency conversion fees, bank charges, and similar charges arising from your purchase or use of the Services.
4. Refund Policy
Refunds are available only under the conditions below, unless applicable law gives you additional mandatory rights.
- Refunds are available only to Paid Subscribers who have not downloaded any images after the relevant subscription payment.
- Refund requests must be submitted within 24 hours of the subscription payment.
- Your request must include a clear explanation and any reasonably requested evidence.
- We will review refund requests reasonably and in good faith. If approved, refunds are generally processed within 5–10 business days, although your bank or payment provider may require additional time.
- We may refuse a refund if images have been downloaded, the request is submitted after the 24-hour period, the request appears abusive or fraudulent, or the subscription has already been materially used.
EU/EEA/UK consumer note: Nothing in this Refund Policy limits mandatory consumer rights that cannot be waived by contract. Where required by law, we will provide pre-contract information and honor mandatory withdrawal, refund, conformity, or remedy rights. For digital content or digital services supplied immediately after purchase, you may be asked to expressly consent to immediate performance and acknowledge that you may lose any statutory withdrawal right once downloading or access begins.
5. Ownership of Content
All Content made available through Seedia Lab is owned by Seedia Lab or its licensors and is protected by copyright, trademark, database, and other intellectual property laws. Except for the limited license expressly granted in these Terms, no ownership rights are transferred to you.
You must not remove, obscure, or alter any copyright, trademark, watermark, attribution, metadata, or proprietary notices unless we expressly permit it in writing or the applicable subscription plan permits such use.
6. License to Use Images
6.1 General License
Subject to your compliance with these Terms and any plan-specific restrictions, Seedia Lab grants you a limited, non-exclusive, non-transferable, non-sublicensable, worldwide license to access and use Content made available to you through the Services.
6.2 Free, Trial, or Non-Paid Access
If you access Content through a free, trial, preview, or non-paid plan, you may use such Content only for personal, internal, evaluation, or non-commercial purposes, unless we expressly state otherwise in writing.
6.3 Paid Subscriber Commercial Use
If you are a Paid Subscriber, you may use downloaded images for commercial purposes during and after your subscription, provided that the images were downloaded while your paid subscription was active and your use complies with these Terms. Commercial use may include marketing materials, websites, social media, presentations, product mockups, advertising creatives, and other lawful business uses.
6.4 No Standalone Resale or Redistribution
You may not sell, resell, license, sublicense, distribute, transfer, share, give away, publish, make available, or otherwise provide Content as standalone files or as part of any competing image library, stock asset platform, dataset, template pack, prompt pack, downloadable archive, NFT collection, or similar product or service without our prior written permission.
6.5 Seat, Team, and Client Use
Unless your plan states otherwise, your account is for a single user. You may not share login credentials or allow multiple people to download Content through one account. If you create work for a client, you may incorporate downloaded images into a final end product for that client, but you may not transfer the underlying standalone image files except as reasonably necessary for the client to use the final end product.
6.6 Reservation of Rights
All rights not expressly granted are reserved by Seedia Lab. Any use outside these Terms requires our prior written permission.
7. Prohibited Uses
You must not use the Services or Content:
- for any unlawful, harmful, fraudulent, deceptive, abusive, defamatory, hateful, harassing, violent, malicious, or exploitative purpose;
- to infringe or violate intellectual property, privacy, publicity, consumer protection, data protection, or other rights of any person;
- to create, promote, or facilitate malware, phishing, spam, scams, credential theft, security bypassing, or other cyber abuse;
- to impersonate any person or falsely imply endorsement, sponsorship, or affiliation;
- to train, fine-tune, validate, benchmark, or build an AI model, image generator, dataset, or competing asset library unless we expressly authorize it in writing;
- to scrape, crawl, bulk download, reverse engineer, bypass technical limits, or circumvent access controls;
- to use automated means to create accounts, download Content, manipulate usage limits, or overload the Services;
- in a way that suggests Seedia Lab guarantees legal, medical, financial, professional, or regulatory compliance; or
- in any manner that violates these Terms or any plan-specific restrictions.
8. User Materials and Feedback
If you submit comments, suggestions, bug reports, ideas, requests, or other feedback, you grant Seedia Lab a perpetual, worldwide, irrevocable, royalty-free license to use, modify, and incorporate that feedback without compensation or obligation to you.
If the Services allow you to upload or submit materials, you represent that you have all rights necessary to do so and that your materials do not violate law or third-party rights. You remain responsible for your materials.
9. Service Availability and Changes
We may modify, suspend, discontinue, or limit any part of the Services at any time, including features, plans, pricing, usage limits, image collections, file formats, download methods, and availability of specific Content. We will use reasonable efforts to avoid materially disrupting active paid subscriptions, but we do not guarantee uninterrupted availability.
Images may be updated, replaced, removed, or reclassified for legal, technical, licensing, quality, business, or safety reasons. We are not required to continue offering any specific image or category indefinitely.
10. Compliance With Law
You are responsible for ensuring that your use of the Services and Content complies with all laws, rules, and regulations applicable to you, your business, your industry, and the territories where your materials are used or distributed. This includes advertising, consumer protection, intellectual property, privacy, export control, sanctions, and industry-specific rules.
11. Third-Party Services
The Services may depend on third-party providers, such as hosting, analytics, payment processing, authentication, email delivery, and content delivery services. We are not responsible for third-party services, outages, terms, policies, or acts, but we will use reasonable care when selecting core service providers.
12. Privacy, GDPR, and Cookies
Our processing of personal data is described in our Privacy Policy. We aim to process personal data in accordance with applicable data protection laws, including the EU General Data Protection Regulation where it applies.
Depending on your use of the Services, we may process account information, contact details, billing-related information, device data, IP address, cookie identifiers, usage data, support messages, and transaction records. We process such data to provide the Services, perform contracts, comply with legal obligations, secure the Services, prevent fraud, communicate with you, and improve our products.
Where we rely on consent, consent must be freely given, specific, informed, and unambiguous. You may withdraw consent at any time where processing is based on consent. Withdrawal does not affect processing that occurred before withdrawal.
Where required, non-essential cookies and similar technologies, including analytics or marketing cookies, will be used only after you have given consent through our cookie banner or preference tool. Essential cookies required for security, authentication, checkout, fraud prevention, or service delivery may be used without consent where permitted by law.
EU/EEA users may have rights to access, rectify, erase, restrict, object to processing, withdraw consent, request portability, and lodge a complaint with a supervisory authority. Please see our Privacy Policy for details and contact methods.
13. Cookie Preferences
You can manage cookie choices using the cookie banner or preference tool provided on our website, including on the homepage or in the website footer where available. You should connect that preference tool to your actual analytics, marketing, and tag-loading tools before deployment.
14. Suspension and Termination
We may suspend, limit, or terminate your account or access to the Services if we reasonably believe that you have violated these Terms, created legal risk, engaged in abuse or fraud, infringed rights, attempted unauthorized access, shared credentials, exceeded usage limits, or used Content outside the permitted license.
Where feasible and legally appropriate, we will provide notice and an opportunity to respond. We may act without prior notice if necessary to protect users, Seedia Lab, third parties, the Services, or legal compliance.
Upon termination, your right to access the Services ends immediately. Licenses to images lawfully downloaded by a Paid Subscriber before termination may continue only if the termination was not caused by your material breach, fraud, unlawful use, rights infringement, or misuse of Content. We may revoke licenses for Content used in violation of these Terms.
15. Disclaimers
The Services and Content are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, representations, and conditions, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted availability, accuracy, and compatibility.
We do not guarantee that Content will be suitable for every jurisdiction, industry, platform, advertising channel, or use case. You are responsible for reviewing Content before use and determining whether it is appropriate for your intended purpose.
16. Limitation of Liability
To the maximum extent permitted by law, Seedia Lab and its owners, officers, employees, contractors, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, or for loss of data, business, goodwill, revenue, or anticipated savings.
To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Services or these Terms will not exceed the greater of: (a) the amount you paid to Seedia Lab for the Services in the three months before the event giving rise to the claim; or (b) USD $100.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited by applicable law, including mandatory consumer rights, fraud, fraudulent misrepresentation, intentional misconduct, or liability for death or personal injury where such exclusion is prohibited.
17. Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Seedia Lab and its owners, officers, employees, contractors, licensors, and service providers from and against claims, damages, liabilities, losses, costs, and expenses, including reasonable legal fees, arising from or related to: (a) your use or misuse of the Services or Content; (b) your breach of these Terms; (c) your violation of law or third-party rights; (d) your materials, projects, products, advertisements, or client deliverables; or (e) your unauthorized resale, redistribution, transfer, or sharing of Content.
We may control the defense of any matter subject to indemnification, and you agree to cooperate with us. You may not settle any claim in a way that imposes obligations on Seedia Lab without our prior written consent.
18. Consumer Rights and Fair Terms
If you are a consumer, these Terms are intended to apply only to the extent permitted by applicable consumer protection law. Nothing in these Terms limits rights you cannot waive, including mandatory rights under EU/EEA or UK consumer laws.
If any provision is found unenforceable against a consumer, the remaining provisions will continue to apply to the maximum extent permitted by law. We will interpret these Terms reasonably and in good faith.
19. Governing Law and Dispute Resolution
These Terms are governed by the laws of the jurisdiction where Seedia Lab is registered, excluding conflict-of-law rules, unless mandatory law provides otherwise.
If you are an EU/EEA or UK consumer, you may have the right to bring claims in your country of residence and to rely on mandatory consumer protections of that country. Nothing in these Terms deprives you of such rights.
Before filing a claim, you agree to contact us first and attempt to resolve the dispute informally. This informal process does not limit mandatory statutory rights or limitation periods where such limitation would be prohibited by law.
20. Force Majeure
We are not responsible for delay or failure to perform caused by events outside our reasonable control, including natural disasters, war, terrorism, labor disputes, internet or hosting failures, payment network failures, cyberattacks, power outages, government actions, legal changes, or failures of third-party providers.
21. Assignment
You may not assign or transfer these Terms, your account, or your license rights without our prior written consent. We may assign or transfer these Terms in connection with a merger, acquisition, reorganization, sale of assets, financing, or operation of law, provided that such transfer does not reduce mandatory consumer rights.
22. Changes to These Terms
We may update these Terms from time to time. We will post the updated version with a revised effective date. If changes materially affect your rights or obligations, we will use reasonable efforts to provide additional notice. Continued use of the Services after the effective date of updated Terms means you accept the updated Terms, except where applicable law requires a different process.
23. Severability, No Waiver, and Entire Agreement
If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver of our right to enforce it later. These Terms, together with any plan terms, checkout terms, and policies referenced here, constitute the entire agreement between you and Seedia Lab regarding the Services.
